Terms of Service

These Terms of Service ("Terms") govern your use of the Fretum platform ("Service"). Fretum is operated by Cameron Fagan as a sole proprietor doing business as "Fretum" ("we," "us," "our"). By accessing or using the Service, you agree to these Terms. Read them carefully.

1. What Fretum Is (and Is Not)

Fretum is non-custodial software infrastructure that enables you, the User, to:

• Provision cryptocurrency wallets on the Base blockchain via Coinbase Developer Platform ("CDP"), a third-party service you contract with through our interface;
• Authorize your own AI agents to sign transactions from those wallets under spending rules you define;
• Optionally list API endpoints ("Storefronts") that other Users' agents may pay to access via the x402 payment protocol.

Fretum does not:

• Hold, pool, commingle, or take possession of User funds;
• Transfer value between Users on Fretum's own behalf;
• Convert between fiat and cryptocurrency, or between cryptocurrencies;
• Match buyers and sellers as a counterparty to any trade;
• Provide investment, legal, tax, or financial advice.

All transfers of value occur peer-to-peer on-chain between Users' own wallets, pursuant to rules and instructions Users define in advance. Fretum is the software mechanism; Users are the principals.

2. Eligibility and Geographic Restrictions

You must be at least 18 years old and legally able to form a binding contract in your jurisdiction. By using the Service, you represent that you are not:

• Located in, or a resident of, any country subject to U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions);
• Listed on any U.S. government prohibited or restricted party list (including OFAC SDN);
• A resident of any U.S. state or jurisdiction from which access to the Service is restricted (currently including, but not limited to: New York, Louisiana, Hawaii, Washington, and California). Restricted-state lists may change. It is your responsibility to confirm eligibility at the time of use.

3. Account Registration

You may register via GitHub OAuth or an API key you generate. You are responsible for maintaining the confidentiality of your API keys and credentials. You are responsible for all activity under your account. Notify us immediately of unauthorized use.

4. Wallets, Signing, and User Control

• Your Wallet Is Yours. Wallets are provisioned on the Base blockchain via Coinbase Developer Platform using multi-party computation (MPC) key management. CDP and Fretum share a role in authorizing signatures, but the economic owner of the wallet's assets is you, the User.
• Signing Automation. When you issue an API call to Fretum (directly or via your AI agent), you are instructing Fretum's software to initiate a signature via CDP. Fretum executes the instruction you provided; Fretum does not choose who to pay, how much, or when. You define the rules; the software follows them.
• Withdrawal Rights. You may transfer your funds to any other wallet address at any time, subject to on-chain gas, by issuing a transfer instruction. Fretum does not impose withdrawal limits, holding periods, or approval processes on your own funds.
• No Guarantee. We do not guarantee the value, availability, or settlement of any cryptocurrency transaction. Blockchain transactions are irreversible once confirmed.

5. Fees

• Platform Fee (Subscription). Fretum charges a per-transaction software-access fee for use of the infrastructure, currently 2% of the notional transaction amount. This fee compensates Fretum for providing the software, uptime, agent-facing APIs, discovery, security guards, and related services. It is a fee for software access, not a fee for transmitting value. Current rates are displayed on the pricing page and may be updated with 30 days notice.
• Network Fees. Blockchain gas fees on Base are covered by the x402 facilitator (Coinbase) and are not charged to you separately.
• Storefront Fees. Prices set by third-party Storefronts are set by those Storefronts. Fretum is not a party to the underlying service transaction between the buyer and the Storefront; it is merely the software conduit that authorizes the on-chain payment.

6. Budget Controls and Spending Limits

You can set per-call and daily spending limits on your wallets. These limits are enforced by Fretum's software on a best-effort basis. Due to the nature of concurrent systems, brief overages may occur. You are responsible for monitoring your wallet balance and transaction history.

7. Storefronts

If you list API endpoints on the Fretum registry ("Storefront"), you represent that: (a) you have the right to offer those services; (b) your pricing is accurate; (c) your endpoints function as described; (d) you will not list endpoints that facilitate illegal activity, violate third-party rights, or contain malicious content. Fretum may remove Storefronts that violate these Terms.

8. Prohibited Uses

You may not use the Service to:

• Launder money or facilitate money laundering;
• Evade sanctions or export controls;
• Finance terrorism or illegal activity;
• Engage in market manipulation, fraud, or unauthorized access;
• Circumvent spending limits or security controls;
• Operate an unlicensed money services business of your own, using Fretum as the underlying rail;
• Abuse the registration or wallet creation process;
• Reverse-engineer, attack, or attempt to compromise the Service;
• Impersonate another person or entity.

9. Regulatory Status; User Responsibilities

Fretum is software infrastructure, not a regulated financial institution. Fretum is not registered as a money transmitter, money services business, broker-dealer, exchange, investment adviser, trust company, or bank, because the services Fretum provides do not require such registration under the laws Fretum believes to apply.

You are responsible for determining the legal status of your own activities in your own jurisdiction. If your use of Fretum — for example, operating a Storefront that accepts payments from many distinct Users, or operating an agent that pays many distinct Storefronts on behalf of third parties — would require you to register or license, that obligation rests with you, not with Fretum. We recommend consulting qualified counsel before scaling your usage.

10. Intellectual Property

The Service, including its code, design, APIs, and documentation, is owned by Fretum (Cameron Fagan, sole proprietor). You retain ownership of any data, content, or API services you list on the platform. By listing a Storefront, you grant Fretum a non-exclusive license to display your storefront name, description, and showcase materials in the registry for discovery purposes.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. We collect the minimum data necessary to operate the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee uninterrupted access, error-free operation, or that the Service will meet your specific requirements. Cryptocurrency values fluctuate. Past performance of tools or storefronts does not guarantee future results. Fretum is not responsible for the performance, quality, legality, or safety of any Storefront; Storefronts are third-party offerings accessed at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCF AGENTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR FUNDS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO FRETUM IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Fretum, its operator Cameron Fagan, and any affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your Storefront listings, or your failure to comply with regulatory obligations applicable to your own activities.

15. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or to comply with applicable law. You may close your account at any time. Upon termination, you retain the ability to withdraw funds from your wallet for 90 days.

16. Modifications

We may update these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dallas County, Texas, or through binding arbitration under the rules of the American Arbitration Association.
