Terms of Service

These Terms of Service ("Terms") govern your use of the Fretum platform ("Service"). Fretum is operated by Cameron Fagan as a sole proprietor doing business as "Fretum" ("we," "us," "our"). By accessing or using the Service, you agree to these Terms. Read them carefully.

Plain English summary. Fretum is software infrastructure. You control your wallet. You are responsible for your transactions. We charge a subscription-style fee for access to the infrastructure. We are not a bank, broker, exchange, or money transmitter, and nothing about the Service creates a custodial, fiduciary, or agency relationship between us and you.

You may register via GitHub OAuth or an API key you generate. You are responsible for maintaining the confidentiality of your API keys and credentials. You are responsible for all activity under your account. Notify us immediately of unauthorized use.

You can set per-call and daily spending limits on your wallets. These limits are enforced by Fretum's software on a best-effort basis. Due to the nature of concurrent systems, brief overages may occur. You are responsible for monitoring your wallet balance and transaction history.

If you list API endpoints on the Fretum registry ("Storefront"), you represent that: (a) you have the right to offer those services; (b) your pricing is accurate; (c) your endpoints function as described; (d) you will not list endpoints that facilitate illegal activity, violate third-party rights, or contain malicious content. Fretum may remove Storefronts that violate these Terms.

Fretum is software infrastructure, not a regulated financial institution. Fretum is not registered as a money transmitter, money services business, broker-dealer, exchange, investment adviser, trust company, or bank, because the services Fretum provides do not require such registration under the laws Fretum believes to apply.

You are responsible for determining the legal status of your own activities in your own jurisdiction. If your use of Fretum — for example, operating a Storefront that accepts payments from many distinct Users, or operating an agent that pays many distinct Storefronts on behalf of third parties — would require you to register or license, that obligation rests with you, not with Fretum. We recommend consulting qualified counsel before scaling your usage.

10. Intellectual Property

The Service, including its code, design, APIs, and documentation, is owned by Fretum (Cameron Fagan, sole proprietor). You retain ownership of any data, content, or API services you list on the platform. By listing a Storefront, you grant Fretum a non-exclusive license to display your storefront name, description, and showcase materials in the registry for discovery purposes.

Your use of the Service is also governed by our Privacy Policy. We collect the minimum data necessary to operate the Service.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee uninterrupted access, error-free operation, or that the Service will meet your specific requirements. Cryptocurrency values fluctuate. Past performance of tools or storefronts does not guarantee future results. Fretum is not responsible for the performance, quality, legality, or safety of any Storefront; Storefronts are third-party offerings accessed at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCF AGENTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR FUNDS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO FRETUM IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Fretum, its operator Cameron Fagan, and any affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your Storefront listings, or your failure to comply with regulatory obligations applicable to your own activities.

15. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or to comply with applicable law. You may close your account at any time. Upon termination, you retain the ability to withdraw funds from your wallet for 90 days.

16. Modifications

We may update these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dallas County, Texas, or through binding arbitration under the rules of the American Arbitration Association.
